Jesh Production – Terms & Conditions
These Terms & Conditions ("Terms") apply to all services provided by Jesh Production to any individual or entity (“Client”). By engaging Jesh Production’s services, including but not limited to accepting a quote, proposal, or invoice, or by commencing a project, the Client acknowledges that they have read, understood, and agree to be bound by these Terms. If an individual is acting on behalf of an organization, the individual signing this Agreement on behalf of the Client represents and warrants that they are duly authorized to execute this Agreement and legally bind the Client to all of its terms and obligations.
1. Scope of Services
- A. Jesh Production provides professional audiovisual services, including, but not limited to, video production, photography, editing, post-production, and other related creative services.
- B. Project-specific details, deliverables, pricing, timelines, and special requirements will be outlined in the applicable proposal, quotation, invoice, email, or other written communication.
- C. Unless otherwise agreed in writing, Jesh Production retains full creative discretion regarding artistic direction, editing style, color grading, audio mixing, pacing, image selection, and final delivery.
- D. Raw (unedited) photographs, video footage, audio files, or project files are not included unless expressly agreed to in writing.
- E. Services not explicitly included in a project agreement may incur additional fees.
2. Copyright & Usage
- A. Jesh Production retains full copyright and ownership of all creative works unless otherwise agreed in writing.
- B. Jesh Production reserves the perpetual, worldwide right to reproduce, edit, modify, display, publish, distribute, license, and sublicense any original content created by Jesh Production for its own business purposes, including, but not limited to, portfolio, marketing, advertising, social media, website content, and licensing through stock platforms.
- C. Upon full payment, the Client is granted a non-exclusive, perpetual license to use the final delivered content solely for its original intended purpose unless otherwise agreed in writing.
- D. Any resale, sub-licensing, redistribution, or modification of the deliverables beyond the agreed scope requires prior written authorization from Jesh Production.
- E. Any deliverables containing Jesh Production's logo or branding must retain such branding unless written authorization is provided.
- F. Any deliverables may not be used for any illegal, unethical, or immoral purposes. Any use of the deliverables that violates laws or moral standards is strictly prohibited and may result in immediate termination of the license granted herein.
3. Payment Terms
- A. Project fees are specified in the applicable proposal, quotation, or invoice.
- B. A deposit may be required before scheduling or commencing work.
- C. Late payments may be subject to reasonable late fees at the discretion of Jesh Production.
- D. Unless otherwise agreed, the remaining balance is due upon project completion and prior to delivery of final high-resolution files.
4. Revisions & Changes
- A. The number of revisions included in a project, if any, will be specified in the applicable proposal or invoice.
- B. Additional revisions or changes that were not previously agreed upon may incur extra charges.
5. Cancellation & Refunds
- A. Deposits are non-refundable.
- B. If the Client cancels after work has commenced, the Client shall be responsible for payment of all work completed, expenses incurred, and non-recoverable costs up to the cancellation date.
- C. Any refund or credit shall be determined by Jesh Production based on the work completed and expenses incurred.
6. Liability & Risk
- A. Jesh Production exercises reasonable care during production but shall not be liable for any injury, theft, or damage to persons or property during the project.
- B. The Client shall be responsible for obtaining any permits, permissions, photography and video releases, or authorizations required for the project.
- C. The Client shall be responsible for personal injury, property loss, or damage occurring during a project.
- D. The Client agrees to indemnify, defend, and hold Jesh Production harmless from any claims, liabilities, damages, or expenses arising from participation in the project.
- E. The Client shall be responsible for any damage to Jesh Production's personnel, equipment, or property caused by the Client or persons under the Client's control.
7. Dispute Resolution & Governing Law
- A. The parties agree to first attempt to resolve any dispute through good-faith negotiation.
- B. If a resolution cannot be reached, these Terms and Conditions shall be governed by the laws of the State of Nevada.
- C. Any legal action arising under these Terms shall be brought exclusively in the appropriate courts located in Clark County, Nevada.
8. Values & Professionalism
- A. Jesh Production is committed to conducting business with integrity, professionalism, excellence, and respect.
- B. The Client agrees to communicate respectfully, provide timely information, and cooperate in good faith throughout the project.
- C. Harassment, discrimination, abusive behavior, or unsafe working conditions may result in immediate suspension or termination of services without refund for completed work and the responsibility of payment for any services offered.
9. Confidentiality
- A. The client agrees to treat any information shared during the project (e.g., production ideas, business details, and techniques) as confidential and not disclose it to third parties without written consent. This obligation survives project completion, indefinitely.
10. Terms & Conditions Updates
- A. Jesh Production may update these Terms & Conditions from time to time.
- B. The most current version will be posted on our website at [www.jeshproduction.com/#terms] (or equivalent URL).
